1. Board Resolution for change of company’s registered office address
The board of directors must pass a board resolution clearly stating the old address, new address, and effective date, and authorize a director or company secretary to file Form 13. A simple majority of directors is sufficient to approve the resolution, unless the company’s Articles of Association require otherwise.
2. Form 13 – Notice Of Company’s Change Of Registered Office Address
Must be filed through a director’s or secretary’s eROC login. A director or company secretary can sign. The effective date must be at least 5 working days after date of submission.

Required only if the new address does not have an assessment or unit number. The document must exactly match the address stated in the resolution and Form 13.
What is the reason for company registered office address change?
A common reason for changing a company’s registered office address arises when import/export businesses apply for VAT registration and Customs importer/exporter licenses. Many companies initially register using a virtual office address or a friend’s or relative’s home address. However, during VAT and Customs registration, the Inland Revenue Department and Sri Lanka Customs require a duly notarized lease agreement registered at the Land Registry or, in the case of a sublease or rent agreement, a certified copy of the master lease agreement.
Most rental agencies that rent virtual offices do not disclose or share their master lease agreement with tenants. As a result, companies are often required to lease a physical business premises and formally change their registered office address by filing Form 13 with the Registrar of Companies.
Effective date of change of company registered office address
When preparing the board resolution and completing Form 13, it is important to carefully consider the effective date of the address change.
The effective date of the change of the company’s registered office must be at least five (5) working days after the date of submitting Form 13 to the Registrar of Companies. If the effective date is earlier than this requirement, Registrar of Companies will request to resubmit.

Similarly, the date of the board resolution must be at least five (5) working days prior to the date of submitting Form 13.
For example, if you are filing Form 13 on 09th February 2026, the effective date of the change of registered office address must be 17th February 2026 allowing for five working days after submission.

How to draft Board Resolution for Changing Registered Office Address in Sri Lanka
1. Company Letterhead
The resolution should be on the company letterhead and begin with the full legal name of the company as registered and the company registration number. It should also state the current registered office address, contact number and email address.
2. Board Meeting Place, Date and Time
For proper company record keeping, you need to mention the following:
- Date of the board meeting
- Time of the meeting
- Place where the meeting was held
- Resolution number (if the company maintains numbered resolutions)
3. Refer to provisions applicable for change of registered office address
The resolution must refer to Section 114 of the Companies Act No. 07 of 2007, confirming that the change of registered office is made pursuant to the Act and subject to:
- The company’s Articles of Association
- Approval of the Registrar of Companies
4. Existing Registered Office Address
Clearly state the current registered address exactly as it appears in the records of the Registrar of Companies, including the postcode.
5. New Registered Office Address
Provide the full new address with postcode. The address must be written accurately and consistently with supporting documents.
6. Effective Date of Change
The resolution should specify the effective date of the change of office address (for example, “With effect from 17th February 2026”). This date should be at least 5 working days after the Form 13 is submitted to Registrar of Companies.
7. Authorize a director
Include a clause authorizing a director to:
- Take all necessary steps to implement the change
- Sign documents where required
8. Authorize company secretary
The resolution should authorize the Company Secretary to:
- Prepare and file Form 13 via the eROC system
- Submit required documents to the Registrar of Companies
- Notify relevant authorities such as the Inland Revenue Department, Sri Lanka Customs, Labour Department, and banks

The resolution must be signed and dated by:
- Directors

How to prepare Form 13 Notice of Company’s Change Of Registered Office Address?
1. Log in to the eROC system
Use the director’s or company secretary’s eROC login credentials to access the eroc dashboard.
2. Click on the Company Name
From the dashboard, click on the relevant company name.
3. Create a New Form 13 Request
Click on “Notice of Company’s Change of Registered Office Address (Form 13)” and select “Make New Request.”
4. Select the Effective Date
Choose the effective date of the address change from the calendar.
Make sure you select a date that is at least five working days after the submission date.
5. Enter the New Registered Office Address
Carefully enter the full new address with the province, district and divisional secretariat, GN division and postal code.

6. Select the Signatory
Choose the authorized director or company secretary from the dropdown menu.
7 . Download Form 13
Generate and download the completed Form 13 for signing and submission.
Address Proof Document For Change of Company Registered Office Address
If the new registered office address does not contain an assessment number or unit number, the company must submit an address proof document together with the board resolution and Form 13.
One of the following documents are acceptable.
- Lease Agreement
- Rent Agreement
- Service Agreement
- Grama Niladari Certificate approved by the Divisional Secretariat.
